Terms & Conditions for Providing Third-Party Employer Services in Pakistan
1. Service Agreement
The Client agrees to obtain recruitment, staffing, payroll, and employee management services from the Service Provider/Third-Party Employer under the agreed terms and conditions.
2. Scope of Services
The Service Provider may provide:
Recruitment & hiring services
Payroll management
Employee onboarding
Attendance management
HR administration
Compliance support
Workforce outsourcing services
3. Client Responsibilities
The Client shall:
Provide accurate job requirements
Maintain a professional work environment
Share employee attendance and performance records when required
Make payments on agreed timelines
4. Employee Status
Employees deployed by the Service Provider shall remain under the payroll and administrative management of the Third-Party Employer unless otherwise agreed in writing.
5. Service Charges & Payment Terms
The Client agrees to pay:
Recruitment fees
Monthly management/service charges
Employee salaries and applicable taxes
Additional approved expenses
Payment timelines and late payment penalties should be clearly defined.
6. Replacement Policy
If an employee resigns or is terminated within the agreed replacement period, the Service Provider may provide a replacement according to company policy.
7. Confidentiality
Both parties agree not to disclose:
Business information
Employee records
Client data
Financial information
without written consent.
8. Non-Poaching Clause
The Client shall not directly hire or approach employees provided by the Service Provider during the contract term and for a specified period after termination without written approval.
9. Compliance with Pakistani Laws
Both parties shall comply with applicable laws of Pakistan including:
Labor laws
Tax regulations
Workplace policies
10. Working Hours & Conduct
Employees shall follow:
Client company timings
Attendance rules
Workplace conduct policies
Operational procedures
11. Liability Limitation
The Service Provider shall not be responsible for:
Client business losses
Operational damages caused beyond reasonable control
Workplace incidents resulting from client negligence
12. Termination of Services
Either party may terminate the agreement by providing written notice as agreed in the contract.
Immediate termination may occur in cases of:
Non-payment
Misconduct
Breach of agreement
Illegal activities
13. Dispute Resolution
Any disputes shall be resolved under the laws of Pakistan and subject to the jurisdiction of the relevant courts.
14. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control including natural disasters, government restrictions, or emergencies.
15. Acceptance of Terms
By using the services, the Client confirms acceptance of all terms and conditions stated in the agreement.
